Head of Legal & Compliance
As Head of Legal & Compliance, you will be fully responsible for all legal and compliance-related matters and shape a responsible, transparent, and sustainable governance and compliance culture. In this role, you will comprehensively handle all legal issues in the areas of civil, commercial, and corporate law, ensuring legally compliant corporate governance.
As Corporate Secretary, you will work closely with the management and the board of directors. You will ensure professional corporate housekeeping - from preparation to coordination and execution, as well as the documentation of board meetings and the general assembly. Additionally, you will ensure compliance with all regulatory requirements of the Swiss Stock Exchange (SIX) and support internal stakeholders in tenders, contract negotiations, and contentious matters. You will conduct contract reviews independently and with high expertise.
In your role, you will be the central point of contact for legal inquiries and will manage external law firms effectively. You will develop governance structures and compliance processes in close coordination with international stakeholders and implement internal policies bindingly throughout the company. Topics such as data protection (DSG/GDPR), whistleblowing, training, internal investigations, and a professional control and reporting setup will also fall under your responsibility. Depending on the final design of the role, a part-time model is also conceivable.
Competencies:
Degree in Swiss law (lic. iur. or Master of Law) and several years of experience in legal & compliance in a company or law firm, preferably in a multinational environment
In-depth knowledge of commercial, competition, and corporate law as well as the regulatory requirements of the Swiss Stock Exchange (SIX), preferably in the healthcare sector
Proven expertise in compensation, tender, and regulatory frameworks, as well as experience in M&A, transactions, digital or data protection law (DSG/GDPR), preferably in the healthcare sector
Personality with a strong understanding of business contexts and high integrity, who precisely analyzes complex legal issues, communicates appropriately, and works independently, structured, and solution-oriented
Fluent in German and English (C1); French is an advantage
